Proposed amendments for this year’s AGM on November 22, 2022:

Article 9: Meetings of Board of Directors

Addition:

9.5 Meetings of the Board of Directors can take place in-person at a location chosen by consensus of the directors present a the previous meeting, online or by phone.

Article 10: Absenteeism of Board Members

Amendments:

10.1 It is the responsibility of any director to notify the board if she/he is unable to attend any meeting. It is expected that Board Members attend meetings on a regular basis.

10.2 If a board member fails to notify the board board of their intended absence (“send regrets” from board meetings at three consecutive meetings, the board member will have been deemed to have resigned from the Board and will be so notified.
